Terms & Conditions — Vendors

These Terms & Conditions (the "Terms") are a binding agreement between you — the automotive service provider, its owner, and its authorized employees (the "Vendor," "you") — and Kood Khafeef For Information Technology Establishment ("CarRoots," "we," "us," or "our"), established in the Kingdom of Saudi Arabia. They govern your use of the CarRoots Vendor mobile application and related services (the "Platform").
By registering a Vendor account or using the Platform, you accept these Terms. If you do not agree, do not use the Platform.
1. The Platform Relationship
1.1. CarRoots operates an intermediary marketplace platform that connects customers ("Users") with independent Vendors offering vehicle care services in supported cities in Saudi Arabia.
1.2. You are an independent business. Nothing in these Terms creates an employment, agency, partnership, or joint-venture relationship between you and CarRoots. You are not authorized to act on CarRoots' behalf or bind CarRoots in any way.
1.3. The service contract for each booking is formed directly between you and the User. CarRoots is not a party to that contract; its role is limited to providing the technology for discovery, booking, scheduling, payment facilitation, and communication.
2. Vendor Account and Onboarding
2.1. You must provide accurate, complete, and current information when registering your company, and keep it up to date at all times.
2.2. You warrant that you hold all licenses, commercial registrations, and permits required to operate your business and provide your services in the Kingdom of Saudi Arabia, and that you will maintain them for as long as you use the Platform.
2.3. You may create employee accounts with role-based permissions. You are fully responsible for the acts and omissions of your employees and subcontractors on the Platform, including their conduct toward Users and their handling of customer data. You must promptly deactivate accounts of personnel who leave your business.
3. Listings, Pricing, and Availability
3.1. You are solely responsible for the accuracy of your company profile, service catalog, descriptions, prices, add-ons, schedules, cities of operation, holidays, and available time slots.
3.2. Prices you publish are inclusive of all applicable taxes unless the Platform displays them otherwise. You must honor the prices and service descriptions displayed at the time a User books.
3.3. You must keep your availability accurate. Repeated cancellations or unfulfilled bookings caused by inaccurate availability may result in suspension.
4. Service Performance
4.1. You must perform booked services professionally, safely, on time, and as described in your listing, including all purchased add-ons.
4.2. You must arrive at the User's service location within the booked time slot and update the booking status truthfully through the app (heading over, started, completed).
4.3. If you cannot fulfill a booking, you must promptly cancel or request a reschedule through the Platform so the User is notified and offered alternatives. Abusive or repeated last-minute cancellations may result in suspension.
4.4. You are solely responsible for your equipment, supplies, water and power arrangements, and the lawful conduct of your operations at the service location.
5. Payments, Fees, and Payouts
5.1. Payments for bookings are collected from Users in Saudi Riyals (SAR) through the Platform's payment gateway (currently Moyasar). CarRoots facilitates collection on your behalf.
5.2. Platform fees, commission rates, settlement schedules, and payout mechanics are as set out in the commercial terms agreed between you and CarRoots during onboarding, as may be updated with notice. Continued use of the Platform after a fee change takes effect constitutes acceptance.
5.3. Revenue and wallet figures displayed in the app are for operational convenience; the binding record is the settlement statement.
5.4. You must not solicit or accept payment outside the Platform for bookings originated through the Platform, and must not encourage Users to transact off-Platform.
5.5. Where a refund is due to a User under the CarRoots Refund Policy (for example, you cancelled the appointment or the service was not provided as booked), the refunded amount may be deducted from your settlement.
6. Packages and Subscriptions
If you offer multi-use packages or subscription-style offerings, you must honor outstanding balances purchased by Users for as long as those balances remain valid under your stated conditions, including after any termination of these Terms, or refund the unused portion.
7. Customer Data Protection
7.1. Through the Platform you receive User personal data (name, phone number, service location, vehicle details, chat messages) solely to fulfill booked services.
7.2. You must not use this data for unsolicited marketing, sell or share it with third parties, or retain it longer than necessary. You must protect it against unauthorized access and comply with the Saudi Personal Data Protection Law (PDPL).
7.3. Breach of this Section is a material breach of these Terms and may result in immediate suspension and legal liability.
8. Taxes and Invoicing
8.1. You are solely responsible for your own VAT registration and remittance, zakat, income/withholding tax, and all other tax obligations arising from services you provide.
8.2. Electronic invoices for bookings are issued in accordance with ZATCA (Zakat, Tax and Customs Authority) requirements through the Platform's accounting integration. You must provide accurate information required for compliant invoicing.
9. Liability for Damage; Insurance
9.1. You are solely liable for any damage to a User's vehicle or property, and for any personal injury, caused by you or your personnel during the performance of your services.
9.2. You are strongly encouraged to maintain appropriate liability insurance covering your operations. CarRoots bears no liability for the acts or omissions of Vendors or their personnel.
10. Indemnification
You agree to indemnify and hold harmless CarRoots, its owners, and its personnel from any claims, damages, penalties, or expenses (including reasonable legal fees) arising from: (a) your services or their performance; (b) your breach of these Terms; (c) your violation of any law, including tax and data protection laws; (d) the acts or omissions of your employees or subcontractors; or (e) any claim by a User relating to your services.
11. Ratings and Conduct
11.1. Users may rate and review your services. You must not manipulate ratings, post fake reviews, or pressure Users regarding their reviews.
11.2. You must use the in-app chat only for lawful, service-related communication and must treat Users respectfully.
12. Suspension and Termination
12.1. You may stop using the Platform at any time. Obligations relating to outstanding bookings, packages, settlements, indemnities, and customer data survive termination.
12.2. We may suspend or terminate your access immediately for breach of these Terms, fraud or payment abuse, repeated service failures or cancellations, misuse of customer data, loss of required licenses, or where required by law.
13. Disclaimers and Limitation of Liability
13.1. The Platform is provided "as is" and "as available." We do not guarantee uninterrupted operation, any volume of bookings, or any level of revenue.
13.2. To the maximum extent permitted by the laws of Saudi Arabia, CarRoots' total aggregate liability to you for any claim arising out of these Terms or the Platform shall not exceed the total platform fees retained by CarRoots from your bookings in the three (3) months preceding the claim.
13.3. CarRoots is not liable for indirect, incidental, special, or consequential damages, loss of profits, or loss of data.
14. Intellectual Property
The Platform, including its software, design, logos, and content created by CarRoots, is owned by or licensed to Kood Khafeef For Information Technology Establishment. You receive only a limited, revocable, non-transferable license to use the Vendor app to operate on the Platform. You grant CarRoots a non-exclusive license to display your company name, logo, and listings on the Platform for marketing and operation of the marketplace.
15. Changes to These Terms
We may amend these Terms from time to time. Material changes will be notified through the Platform, and the "Last updated" date will be revised. Continued use of the Platform after changes take effect constitutes acceptance.
16. Governing Law and Disputes
These Terms are governed by the laws of the Kingdom of Saudi Arabia. Any dispute arising from these Terms or the Platform that cannot be resolved amicably shall be subject to the jurisdiction of the competent courts and committees of Saudi Arabia.
